The purpose of this meeting is to consider and, if thought fit, pass an ordinary resolution to extend the terms of office for three current Directors by one year to restore the intended rotational cycle and ensure governance continuity.

Business of the Extraordinary General Meeting

The following business will be conducted at the EGM:

  1. Welcome and Apologies
  2. Special Business 
    • Ordinary Resolution: Extension of three existing Directors' terms by one year (with permission to serve up to seven years consecutively).
    • Motion: That the terms of office of three Directors due to finish in 2026 be extended by one year, such that their terms will conclude at the Annual General Meeting in 2027 and that, notwithstanding clause 37.7 of the Constitution, each of these Directors may serve up to seven consecutive years in office if re-elected.

Explanatory notes for Members

The Constitution requires that three Directors are elected each year for three-year terms. Over time, the rotation has become unbalanced. To restore the intended cycle, the Board is proposing to extend the terms of three current Directors by one year.

This will ensure:

  • A consistent rotation of three Directors elected each year
  • Balanced renewal of the Board
  • Continuity of experience and skills while maintaining democratic elections

Clause 37.7 of the Constitution currently limits Directors to a maximum of six consecutive years of service. The proposed extension would allow the affected Directors to potentially serve up to seven years if subsequently re-elected at the end of the extended term. The Board considers this resolution necessary to support good governance, continuity and stability during a period of significant organisational growth and national initiatives.
